Understanding invoicing payment terms & conditions

This article will describe invoicing payment terms.

All invoices must be paid within 30 days of their issue date.

If invoices are past due, we will send a warning, and then, if no payment is received, pause all campaigns within invoiced accounts.

While our finance teams will log partial payments, Ads Manager only recognizes invoices as “Paid” if they are paid in full. Partially paid invoices will not be reflected in Ads Manager, which can result in campaigns being paused in invoiced ad accounts (due to overdue invoice status).

NOTE: If an invoice for one ad account is past due, we will pause campaigns in ALL ad accounts under the organization that holds the line of credit. Ad Accounts with credit card billing will continue to operate without interruption.

Section 6.d.i: In the event Roku, in its sole discretion, agrees to invoice you directly for Ads purchased via the Ads Manager Platform, unless otherwise agreed by Roku in writing, Roku will issue the invoice at the end of the calendar month in which the Ads first delivered, and then on a monthly basis, which shall be payable within thirty (30) days of receipt. The invoice(s) shall relate to Ads delivered up to the date indicated, charges for which shall be calculated on a pro-rata basis as determined solely by Roku. You shall make all payments due without deduction, whether by way of set-off, counterclaim, discount or otherwise. Roku may, but is not obligated to, offer a credit line to select Advertisers who have completed a credit check and satisfied any applicable credit requirements set by Roku in its sole discretion. Roku reserves the right to require you to meet certain initial and ongoing spend minimums and/or thresholds, established in its sole discretion, for you to be eligible for invoicing.

Section 6.d.ii: Roku reserves the right to modify, suspend, or cancel credit lines, if any, at any time with or without notice for whatever reason. Any extension of an approved credit line will be at Roku’s sole discretion and may be subject to further credit review. Interest charges and collection fees may be applied to past due amounts. Advertiser and Agency shall be jointly and severally liable for the payment of sums due under any invoice related to this Agreement. Unless otherwise agreed by Roku in writing, if Roku has not received payment from any Agency within forty-five (45) days from the due date of the invoice, Roku may consider the invoice to be delinquent and may invoice or contact the Advertiser directly. Advertiser shall be liable to Roku for all unpaid billings in connection with this Agreement. Nothing herein relating to the payment of invoiced amounts by Agency shall be construed to relieve Advertiser of, or diminish Advertiser's liability, for a breach of its obligations hereunder.
